Please read these Terms & Conditions carefully before using the HB Terminal platform. By accessing or using our services, you agree to be bound by these terms in their entirety.
By registering for, accessing, or using the HB Terminal platform ("Platform"), website, or any related services provided by HB Terminal ("Company", "we", "us", or "our"), you ("User", "you", or "your") acknowledge that you have read, understood, and agree to be legally bound by these Terms & Conditions ("Terms") and our Privacy Policy. If you do not agree to these Terms, you must immediately discontinue use of the Platform.
These Terms constitute a legally binding agreement between you and HB Terminal, owned and operated by Team - HB Terminal, registered and operating under the laws of India.
HB Terminal is a Software-as-a-Service (SaaS) platform that provides algorithmic trading tools, strategy automation, market data visualization, and related technological utilities for use with registered stockbroker accounts. The Platform is a technology service provider only.
IMPORTANT: HB Terminal is NOT a SEBI-registered investment advisor, portfolio manager, research analyst, or stockbroker. Nothing on this Platform constitutes investment advice, financial advice, trading recommendations, or any solicitation to buy or sell any financial instrument. All tools and features are provided solely for informational and automation purposes.
Our services include but are not limited to: algorithmic strategy deployment, automated order management, back-testing tools, real-time P&L tracking, and broker API integrations.
To use the Platform, you must meet all of the following eligibility criteria:
By using the Platform, you represent and warrant that you meet all eligibility requirements. HB Terminal reserves the right to verify eligibility and suspend or terminate accounts that do not comply.
You are solely responsible for maintaining the confidentiality and security of your account credentials, including your username, password, and any two-factor authentication details. You agree to:
HB Terminal will not be liable for any loss or damage arising from unauthorized access to your account due to your failure to follow these security obligations.
Access to the Platform's features is provided on a subscription basis. Current subscription plans are:
All payments are processed securely through Razorpay, a third-party payment gateway. By providing your payment details, you authorize HB Terminal to charge your chosen payment method for the applicable subscription fee.
Subscriptions are prepaid and billed monthly or annually as selected at checkout. Unless you cancel your subscription before the renewal date, your subscription will automatically renew for successive periods at the then-current subscription rate. HB Terminal reserves the right to modify subscription prices at any time, with at least 30 days' prior notice to existing subscribers.
All prices are in Indian Rupees (INR) and are inclusive of applicable taxes unless stated otherwise. Failure to process payment may result in immediate suspension of your account access.
You agree to use the Platform only for lawful purposes and in accordance with these Terms. The following activities are strictly prohibited:
HB Terminal reserves the right to investigate suspected violations and take appropriate action, including immediate account termination and reporting to relevant authorities.
All content, features, algorithms, source code, software, design elements, graphics, trademarks, logos, and other intellectual property available on or through the Platform are the exclusive property of HB Terminal and its owner, Team - HB Terminal. All rights are reserved.
Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for your personal algorithmic trading activities during your active subscription period. This license does not include:
Any unauthorized use of HB Terminal's intellectual property may result in legal action.
Algorithmic trading and securities trading involve a substantial risk of financial loss. By using the Platform, you expressly acknowledge and accept that: (a) all trading decisions and their financial consequences are your sole responsibility; (b) past performance of any algorithm or strategy does not guarantee future results; (c) you may lose part or all of your invested capital; and (d) HB Terminal bears no responsibility whatsoever for any trading losses you incur.
You represent that you understand the risks associated with algorithmic trading and that you are trading with capital you can afford to lose. HB Terminal strongly recommends consulting a SEBI-registered investment advisor before making any trading decisions.
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, either express or implied. To the fullest extent permitted by applicable law, HB Terminal expressly disclaims all warranties, including but not limited to:
To the maximum extent permitted by applicable Indian law, HB Terminal, its owner, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to: loss of profits, trading losses, loss of data, loss of goodwill, business interruption, or any other commercial or financial losses.
In no event shall HB Terminal's total aggregate liability to you for all claims arising from or relating to your use of the Platform exceed the amount equal to your subscription fee paid during the one (1) calendar month immediately preceding the event giving rise to the claim.
This limitation of liability applies regardless of the legal theory under which the claim is brought, whether in contract, tort, negligence, strict liability, or otherwise, even if HB Terminal has been advised of the possibility of such damages.
You agree to indemnify, defend, and hold harmless HB Terminal, its owner Team - HB Terminal, and any of its officers, employees, agents, or licensors from and against any and all claims, liabilities, damages, losses, costs, expenses, and legal fees (including reasonable attorneys' fees) arising out of or in connection with:
HB Terminal reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause or notice, including but not limited to cases where:
Upon termination, your license to use the Platform immediately ceases. You may cancel your subscription at any time through your account settings; cancellation takes effect at the end of the current billing period. Please refer to our Refund Policy for information about refunds upon cancellation.
HB Terminal reserves the right to modify these Terms at any time. When we make material changes, we will notify registered users via email at the address associated with their account and/or by posting a prominent notice on the Platform, at least 14 days before the changes take effect. Your continued use of the Platform after the effective date of the updated Terms constitutes your acceptance of the revised Terms. If you do not agree to the amended Terms, you must discontinue use of the Platform before the effective date.
These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall be subject to the exclusive jurisdiction of the courts located in Chennai, Tamil Nadu, India. By using the Platform, you irrevocably submit to the personal jurisdiction of such courts.
